Bourque Clegg Causey & Morin represents clients in business law. This includes the formation of businesses, the purchase or sale of businesses, commercial real estate, contracts, business breakups, litigation and other legal needs for your business.

Business entity formation: Many clients come to our firm for assistance in forming business entities. We are experienced forming corporations and limited liability companies (“LLC”). We also serve as general counsel and registered agent for many of the corporations that were formed by our firm. We currently serve in that role for 160 corporations and LLCs. 

Why your business should have counsel: Clients usually want to incorporate a business so they can limit their personal liability in business matters. However, to maintain that protection from liability, it is extremely important to maintain these corporate “formalities.” We work with our clients to ensure that their business entities are properly documented with bylaws, LLC operating agreements, agreements between shareholders, annual meeting minutes and annual reports. It is also important to have an available attorney who is familiar with our business, its structure and ownership. This enables your attorney to quickly and efficiently answer questions and provide legal advice tailored to your needs. This experience is also crucial when your business needs to borrow money, and your bank is looking for resolutions and legal opinions as part of the closing process. 

Purchase and Sale of Businesses: We frequently represent clients acquiring a new business, selling a business, or transferring a business to family members. We have experience drafting asset purchase agreements, stock purchase agreements, non-competition agreements, bills of sale, leases and similar documents. We have worked on deals involving many types of businesses, including franchises, medical and dental practices, print shops, machine shops, trucking, heating fuel companies, gas stations, insurance agencies, restaurants, realty offices, childcare services, automobile garages, and many others. We work on cash transactions, owner-financing, bank-financing or a combination of these. We can also handle the closing of these transactions.

Commercial transactions: We represent clients in commercial transactions. These may include the transfer of business assets, real estate, construction, leasing or a combination of these. Employment matters: Our clients often consult with us about employment matters, trying to address problems before they result in litigation. We can also assist in the negotiation and drafting of employment agreements and non-competition agreements for key personnel.

Business breakups: We represent clients in the process of winding down a business, buying out a partner, selling out to a partner, or settling affairs for a deceased partner. We can handle a friendly breakup, a contested breakup or a breakup that requires litigation. 

Business litigation: Our firm routinely represents our business clients a wide variety of lawsuits. These services may include cases for breach of contract, breach of fiduciary duty, fraud, corporate theft, collection matters, mechanics liens, real estate litigation, employment-related litigation, torts, insurance coverage disputes, commercial evictions or foreclosure, or arbitration.
